Client Content

You retain ownership of any content, data, or materials you provide to us. By using our services, you grant us a license to use, reproduce, and modify your content solely for the purpose of providing our services.

Work Product

Ownership of AI solutions, code, and deliverables created for you will be specified in individual service agreements.

Payment terms will be outlined in individual service agreements or proposals. Generally:

• Fees are due as specified in the service agreement
• Payment methods will be agreed upon before service commencement
• Late payments may incur additional charges
• Prices are subject to change with reasonable notice
• Refunds are subject to the terms of individual agreements

While we strive to provide high-quality AI services, you acknowledge that:

• AI technologies are evolving and may have limitations
• AI outputs may not always be 100% accurate
• Services are provided "as is" without warranties of any kind
• We do not guarantee specific business outcomes or results
• Third-party AI platforms we integrate may have their own limitations

We will work diligently to deliver quality solutions, but results may vary based on implementation, use case, and external factors.

To the fullest extent permitted by law:

• IntegAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you for services in the 12 months preceding the claim
• We are not responsible for losses caused by third-party services or platforms we integrate with
• We are not liable for business interruption, lost profits, or data loss

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes:

• Business information and trade secrets
• Technical specifications and implementations
• Customer data and business strategies
• Pricing and commercial terms

Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.

Either party may terminate services:

• By providing written notice as specified in the service agreement
• Immediately if the other party breaches these Terms
• If the other party becomes insolvent or ceases business operations

Upon termination, you remain responsible for any outstanding fees, and we will provide any completed work product as outlined in the agreement.

You agree to indemnify and hold harmless IntegAI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or our services shall be resolved through:

• Good faith negotiation between the parties
• Mediation, if negotiation is unsuccessful
• Litigation in the courts of England and Wales as a last resort

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on our website with a revised "Last Updated" date. Continued use of our services after changes constitutes acceptance of the new Terms.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

These Terms, together with any individual service agreements, constitute the entire agreement between you and IntegAI regarding our services and supersede all prior communications and proposals.
